Our club has by-laws and we annually elect new officers.  Volunteers are welcome!

Greater Orlando, Florida Super Sport Teach (GOFASST) Bylaws

ARTICLE I 

PURPOSE AND CLASSIFICATION 

Section 1. PURPOSE:

The general purpose of this club, and hereinafter called GOFASST, shall be to preserve and maintain the Chevrolet Impala SS and other B-Body cars identified as the Caprice models manufactured by General Motors, including the motor vehicles produced in model year 1991 through 1996, and to serve as an accurate source of technical information concerning these automobiles for the benefit of its members who are primarily located throughout Central Florida. 

Section 2. CLASSIFICATION OF VEHICLES: 

In order to facilitate the general purpose, the vehicle identification number must be traceable to an Impala SS, Caprice, or Buick Roadmaster model manufactured by General Motors from 1991 through 1996. 

ARTICLE II 

IMPALA SS CLUB OF AMERICA CHARTER 

Section 1.  DEFINITION: 

This club was originally created from the base of the 1994-1996 Impala SS owners who formed NAISSO, the National Association of 94-96 Impala SS Owners in 1995, which was taken over by its corporate owner in 1998.  This club was then named and formed in order to serve the regional Central Florida base of Impala SS owners.  GOFASST is a regional extension of the Impala SS Club of America (ISSCA) and will be entitled to benefits granted by the ISSCA Board of Directors, as long as it qualifies as a Chartered Club under the guidelines of ISSCA. 

Section 2. QUALIFICATIONS FOR ISSCA CHARTERED CLUB STATUS: 

  1. This club must include, and maintain, a minimum of ten (10) ISSCA members in good standing.
  1. All officers of this club must be ISSCA members in good standing.
  1. Confirm this club’s standing annually in writing to the ISSCA Secretary for verification of compliance with ISSCA Charter Club qualifications

ARTICLE III 

OFFICERS 

Section 1.  TYPE OF OFFICERS: 

The officers of this club shall be President, Secretary and Treasurer.  Officers shall serve for one (1) year of until their successors are elected.  No member may serve more than four (4) consecutive full terms in the same office; the member may be re-elected any number of times to office in a lifetime.  One member may hold more than one officer position if necessary to fulfill all of the officer duties. 

Section 2.  REMOVAL AND RESIGNATION: 

Any officer may be removed for cause by a three-fourths (3/4) majority vote of the members at the time in office at a regular or special meeting of the members.  Any officer may resign at any time by giving written notice to the President or Secretary of the club.  Any such resignation shall take effect on the date of receipt of such notice, or at a later time specified therein.  The acceptance of such resignation shall not be necessary to make it effective.  

Section 3.  VACANCIES: 

A vacancy in any office because of death, resignation, removal, disqualification, or any other cause shall be filled in the manner prescribed in the Bylaws for regular election or appointment to such office. 

Section 4.  VOTING: 

All officers shall have the right to vote with the assembly and to debate questions, as may any other member.  Appointment or election to office shall not preclude the officer’s right to vote on any matter for which they would be eligible to vote. 

Section 5.  EXECUTIVE COMMITTEE: 

An Executive Committee shall consist of the President, Secretary, and Treasurer.  The Executive Committee shall have the authority to conduct emergency business, and set the agenda for meetings. 

ARTICLE IV 

DUTIES OF OFFICERS 

Section 1.  PRESIDENT: 

The President shall be the Chief Executive Officer of the Club and shall have general supervision, direction, and control of the business and affairs of the club.  The President shall sign all contracts and other instruments in writing.  Positions to which members may be appointed by the President include, but are not limited to, Events Coordinator, Webmaster, Public Relations Officer, and Membership Coordinator. 

Section 2.  SECRETARY: 

The Secretary shall attend all meetings of the members and record the minutes of all meetings, keep or cause to be kept, a current register of members, and give notice of all meetings of members.  The Secretary shall have control of valuable papers and books of the club.  The Secretary will certify and file amendments and revisions of the Bylaws.  In the absence of the Secretary from any meeting of the members, the presiding officer shall appoint a Secretary pro-tempore. 

  1. The Secretary shall compile copies of the minutes of all previous meetings filed in such a way as to be available for reference during meetings and at other times.

Section 4.  TREASURER 

The Treasurer shall keep a correct accounting of the club’s business transactions.  The Treasurer or designee shall deposit all monies and other assets in the club depository; disburse the funds of the club and shall render to the President an accounting of the club’s assets and liabilities when requested.  The Treasurer, without specific approval, shall incur no obligation, debt, or other liabilities. 

ARTICLE V 

MEMBERSHIP 

Section 1.  TYPES OF MEMBERSHIPS 

Membership shall be open to any person interested in promoting the purposes of this club. 

  1. ACTIVE MEMBER:  Those members who application has been accepted and whose dues have been paid.  Active members are entitled to all club privileges, including the right to vote with the assembly.

Section 2.  SUSPENSION, EXPULSION, REINSTATEMENT BY THE TREASURER and/or EXECUTIVE COMMITTEE: 

  1. Any member may be suspended by the Treasurer for non-payment of dues after the membership anniversary date.  Suspension by the Treasurer shall be at the discretion of the Treasurer.  Upon payment of back dues, a member suspended for non-payment shall be automatically reinstated, providing any additional dues that have accumulated during the suspension period, together with the delinquent amount, are paid.
  1. Membership will be reviewed for any member who is found to be guilty of conduct that negatively impacts the club and its relationship with others in the Central Florida community, and the Impala community as a whole.

Section 3.  GENERAL: 

Upon the resignation, suspension, or expulsion of a member, the member’s rights and privileges shall cease. 

Section 4.  QUORUM: 

At all meetings of the club, one quarter (1/4) of the voting members in good standing shall constitute a quorum entitled to conduct legal business of the assembly. 

Section 5.  PROCEDURE: 

Each voting member (one vote per membership number) in good standing shall be entitled to one vote at any meeting.   

ARTICLE VI 

DUES 

Section 1.  DUES: 

Membership Renewals:

Membership dues shall be fixed by the Officers from time to time and adjusted as necessary to provide a balanced budget.  Dues shall be payable at the beginning of each calendar year and before January 31st and will be considered delinquent thereafter. 

New Member Dues:

Any new member may join the club during the year.  Dues collected prior to June 30th of each year will be equal to a full year’s due amount.  Any new member joining the club after July 1st will pay an amount equal to ½ of the normal annual dues for membership. 

ARTICLE VII 

PERSONAL LIABILITY 

Section 1.  MEMBERS: 

Neither the members of the club, nor officers, present or future, shall be held personally liable for any claim, damage, or debt against the club or its members. 

Section 2.  CLUB ASSETS:

No member of this club shall have the right to individual proceeds of the club income revenues, assets or property.

ARTICLE VIII 

PARLIAMENTARY AUTHORITY 

Section 1.  RULES:

The rules contained in the current edition of Roberts Rules of Order shall govern the club in all cases to which they are applicable and in which they are not inconsistent with these Bylaws and any special rules of order GOFASST may adopt.

ARTICLE IX 

INSPECTION OF BYLAWS 

Section 1.  AVAILABILITY: 

The club shall keep in its principal office the original (or a copy) of the Bylaws as amended or otherwise altered, to date, certified by the Secretary, which shall be open to inspection by the members at all reasonable times.

ARTICLE X

AMENDMENTS 

Section 1.  BY MEMBERS: 

New Bylaws may be adopted or these Bylaws may be amended or repealed by a two-thirds (2/3) majority vote of the active voting members, present at a meeting where a quorum is present.

Section 2.  RESTRICTIONS: 

Not less than six (6) months must elapse between a meeting defeating a proposed amendment or repeal, and a new presentation of the same or substantially the same, amendment or repeal.

ARTICLE XI 

STANDARD OPERATING PROCEDURES (SOP’s) 

Section 1.  SOP GUIDELINES: 

The Executive Committee may, at its discretion, create various and multiple SOP’s that can be utilized to set up guidelines for day-to-day activities so that procedures used to operate the club can be more formalized and periodically updated to improve the long term benefits to future members and officers designated to run the club. 

The Executive Committee may create SOP’s pertaining to any special event(s) that GOFASST wishes to support or sponsor from time to time.  The guidelines established can be periodically updated to reflect changes so that future event planners can take advantage of prior work done for a similar event. 

Section 2.  AVAILABILITY FOR REVIEW: 

The Secretary or Treasurer will be responsible for maintaining a complete summary of all SOP’s that are in effect, and this summary will be made available for review by any member(s) who request the information.
